Private Placements and Hybrid Securities Offerings 2024

Jay Knight will participate in two separate panel discussions at Practising Law Institute’s Private Placements and Hybrid Securities Offerings 2024: Overview of 4(a)(2) and Regulation D and Financings in Close Proximity to One Another.

After attending the Overview of 4(a)(2) and Regulation D, participants will understand the basics of the Securities and Exchange Commission’s (SEC) Regulation D (Reg D) and recent amendments, recognize bad actor disqualification and the related consequences, and take practical steps to address bad actor disqualification diligence and certifications.

Financings in Close Proximity to One Another will discuss financing integration and provide participants with an understanding of the historic integration framework, the SEC’s concept release discussion of integration, and how to review and follow the SEC’s amendments to the exempt offering framework that impact integration and follow new integration safe harbors.
