A trusted adviser to public companies, Taylor works with clients in retail, consumer products, healthcare and manufacturing. He represents issuers in securities transactions, including IPOs, secondary public offerings, ATM offerings and PIPEs, as well as strategic transactions such as mergers, acquisitions, divestitures and tender offers.
Taylor extensively counsels on corporate and securities matters, including public company disclosure, Section 16 and beneficial ownership issues, stock exchange compliance, insider trading, executive compensation and environmental, social and governance (ESG) concerns. In addition, he guides private companies through formation, business structuring, securities offerings, governance, M&A and large internal reorganizations. Taylor also advises institutional investors on investments in public and private companies.
Alongside his robust corporate practice, Taylor is committed to pro bono work, advising nonprofit clients through all stages of development and transformative transactions. He has led multiple initiatives focused on advancing diversity, equity and inclusion.
