Jahan Sharifi is chair of the firm’s Corporate Department and co-chair of the Private Funds and Asset Management practice. Jahan provides counsel on investment and financing transactions of virtually all kinds, including private equity transactions, venture capital and growth equity investments, mezzanine capital, mergers and acquisitions, direct lending transactions, convertible instruments, recapitalizations, post-reorganization equity, private investments in public equity (PIPEs), special purpose acquisition companies (SPACs), joint ventures and other specialized investment structures.
He has completed transactions in a wide range of industries, including healthcare, medical devices, pharmaceuticals, software and technology, media and internet, real estate development, financial services, consumer retail and franchised businesses, with experience doing deals in the U.S. and around the world.
In the course of these transactions, Jahan leverages his broad knowledge and experience in negotiating appropriate rights and protections, whether for minority or majority investors, for investment syndicates or for management. In structuring investments, Jahan is sensitive to his clients’ needs to both manage risk and realize returns, looking for opportunities to help them minimize or hedge transaction risk and post-closing exposure, while preserving economic upside and providing a market-efficient exit mechanism.
