Barnes & Thornburg advised The Finish Line, Inc., a leading retailer of athletic apparel and accessories headquartered in Indianapolis, in a merger agreement with JD Sports Fashion PLC. The transaction is valued at approximately $558 million and is expected to close in the second quarter.
Under the deal terms, JD Sports Fashion will acquire 100 percent of issued and outstanding Finish Line stock. The merger, which is subject to shareholder approval, will create a global, multichannel retailer of sports, fashion and outdoor brands. JD Sports Fashion is based in the United Kingdom.
