Jordan Carr focuses primarily on community and economic development, including low-income housing, new markets and historic-rehabilitation tax credits. Jordan is dedicated to ensuring a negotiation process that considers the needs of all deal constituents and in finding a way to make his client’s position work for the other side.

Jordan represents syndicators, investors, funds and financial institutions in the acquisition, financing, sale and disposition of interests in real estate developments, as well as in the acquisition of equity interests in low-income housing tax credit and historic-rehabilitation tax credit projects. These transactions involve complex tax structuring and a variety of funding sources, such as traditional construction and permanent loans, state and federal tax credits, equity, HUD- and USDA Rural Development-insured loan products, tax-exempt and taxable bonds, Section 8 and USDA Rental Assistance subsidies, nonprofit and governmental grants, and a variety of state and local loan programs.

In addition, Jordan represents developers and operating companies in various matters, including property acquisitions and dispositions, financing and refinancing real property and equipment, asset management and obtaining and granting easements.  

Jordan is at his best when working with clients on initiatives that involve challenging problem-solving, creative deal structures, complex tax code issues and designing practical solutions that are actionable to his client. Although Jordan is meticulous when it comes to understanding and incorporating the details, he is also focused on the bigger picture both from his client’s perspective and their client’s perspective.

Experience
  • Represented a low-income housing tax credit syndicator in the acquisition of a 99.99% interest in a 328 unit, new construction, mixed use, Opportunity Zone development in Brooklyn, New York with more than 14,000 square feet of commercial space, community service facility and parking facilities and a total budget of more than $237,000,000. The project was financed with more than $100,000,000 of tax credit equity, tax-exempt bonds from the New York State Housing Finance Agency, construction and permanent debt from the New York State Homeless Housing and Assistance Corporation, the New York State Housing Finance Agency, Federal Home Loan Bank and sponsor loans, as well as state rental assistance.
  • Represented a developer in the closing of two side-by-side 9% adaptive reuse low-income housing tax credit projects converting a historic nursing home into a total of 118 units of new housing including 42 supportive housing units using a condominium structure. The projects are funded with low-income housing tax credit equity, historic tax credit equity, permanent debt and sponsor loans.
  • Represented a low-income tax credit syndicator in the acquisition of interests in twinned 4%/9% new construction projects in Chicago, Illinois with combined budgets of more than $68,000,000 creating 89 total units including 55 public housing units anticipated to be converted to RAD Section 8 subsidy under the Faircloth to RAD program.
